Sponsor Agreement
1. Parties and acceptance
This Sponsor Agreement is between Quest Claim LLC, 712 Park Street, Clinton, MO 64735 ("Quest Claim") and the business named in the Quest Claim sponsor account ("Sponsor"). Sponsor accepts it by ticking the acknowledgement in Section 10 and paying for a hunt. The person accepting confirms they are authorized to bind Sponsor. This Agreement applies to every hunt Sponsor buys, together with the Official Rules shown in the app.
2. What the Sponsor buys
Sponsor selects an advertising duration of 30, 60 or 90 days. The flat advertising fee is based on the prize-value bracket disclosed before payment, not on the duration selected. The selected duration, stated prize, applicable prize-value bracket, advertising fee and any separately agreed charges are disclosed in the order before Sponsor pays. Sponsor funds the stated prize separately from the advertising fee. Quest Claim does not guarantee any particular number of players, digs, visits or sales. The advertising service includes:
- Sponsor's business name and branding on the hunt and its clue panel ("Hidden by" Sponsor).
- The hunt's appearance to players in the app, with a prize funded by Sponsor.
- The hunt's listing, with Sponsor's name, on the public prize list and, if the prize rolls over, the jackpot ledger.
- Any optional loading-screen spotlight Sponsor buys.
3. Sponsor's role
Sponsor is the sponsor of its own hunt and funds its prize. Quest Claim administers every hunt (clue, hidden spot, review, payout and tax reporting) under the Official Rules and is the sponsor of the progressive jackpot. Sponsor does not choose the hidden spot: Quest Claim's software places it 150 to 400 meters from the area Sponsor chose, in a direction the software picks, and the app does not show the location to Sponsor. Sponsor must not publish or hint at the hidden spot or clue answers outside the app.
4. Go-live, advertising duration, clues and expiry
- A hunt goes live after payment and Quest Claim's review, and no sooner than 24 hours [to be confirmed] after payment.
- Sponsor selects an advertising duration of 30, 60 or 90 days. The selected duration and its beginning and ending times are stated in the order and shown for the hunt.
- When the treasure is found through a Validated Win, the clue is deleted. The clue or hunt may afterward be recycled, reused or repurposed for a future hunt. Reuse does not cancel the original winner's earned prize or itself create an additional prize award.
- Separately, when the selected 30-, 60- or 90-day advertising duration expires and the treasure remains unfound, the unfound prize money rolls into the progressive jackpot. The hunt stays live, but its displayed clue text is removed. Money already owed to a validated winner is not an unfound prize and is not rolled into the jackpot.
- These provisions concern hunt and clue operation; retention of payment, claim, security and other records is governed by the Privacy Policy and applicable law.
- Sponsor cancellation is addressed in Section 6.
5. Sponsor eligibility promise
Sponsor agrees that Sponsor, its owners, officers, directors, employees and agents, and their immediate family and household members (as defined in the Official Rules) will not claim or accept (a) any prize from a hunt Sponsor funded, or (b) any jackpot prize. Sponsor will tell these people about this rule. Any prize claimed in breach of this section is forfeited and added to the jackpot, Quest Claim may suspend the accounts involved and end this Agreement, and no refund of any amount is owed because of a forfeiture under this section.
6. Cancelling and refunds
- Before go-live: Sponsor may cancel any time before a hunt goes live and receive a full refund of everything it paid, minus payment-processor fees that are not returned to Quest Claim.
- After go-live, the prize is committed: when a hunt goes live, its prize is publicly offered to players under the Official Rules. From that moment, the prize amount is committed to players and will go either to a Validated Win credited to a Prize Wallet or, if the selected advertising duration expires with the treasure unfound, to the progressive jackpot under Section 7. It is never refunded to Sponsor, including if Sponsor cancels. After a cancel, the hunt is hidden from new players; players who already started may finish until the selected advertising duration ends; and if the treasure remains unfound at that expiry, the unfound prize money rolls into the jackpot under Section 7.
- Advertising fee: the flat advertising fee pays for the advertising services in Section 2 for the selected advertising duration and is based on the prize-value bracket disclosed before payment. If Sponsor cancels within the first 7 days [to be confirmed] after go-live, Quest Claim refunds the advertising fee in proportion to the unused days of the selected duration, minus processor fees. After day 7 [to be confirmed], the advertising fee is fully earned.
- How refunds are paid: only to the original payment method, through Quest Claim's payment processor, within 10 business days [to be confirmed].
7. Found clues, unfound expiry and the jackpot
- When the treasure is found through a Validated Win, the clue is deleted. The clue or hunt may afterward be recycled, reused or repurposed for a future hunt. Reuse does not cancel the original winner's earned prize or itself create an additional prize award.
- Separately, when the selected 30-, 60- or 90-day advertising duration expires and the treasure remains unfound, the unfound prize money rolls into the Quest Claim progressive jackpot once. The hunt stays live, but its displayed clue text is removed. The prize is not refunded to Sponsor.
- Money already owed to a validated winner is not an unfound prize and is not rolled into the jackpot.
- These provisions concern hunt and clue operation; retention of payment, claim, security and other records is governed by the Privacy Policy and applicable law.
- Quest Claim's fees never enter the jackpot.
8. Prize funding and tax-related costs
Sponsor funds the stated prize separately from the advertising fee. Sponsor bears the prize-related tax-administration, reporting and legally required withholding costs expressly allocated to Sponsor in the accepted order. The order must disclose any administration charge, reserve or additional funding commitment before payment. This cost allocation does not transfer or eliminate reporting, withholding, remittance or other statutory duties imposed on Quest Claim or another payer. Winners remain responsible for their own final income-tax liabilities. Sponsor funding of required withholding is not a promise to pay every tax a winner may owe.
9. Payments, fees, chargebacks and Sponsor's taxes
- Sponsor pays in advance, through Quest Claim's payment processor, the total shown in the cost breakdown before payment: the stated prize, the flat advertising fee based on the prize-value bracket, any prize-related costs expressly allocated to Sponsor in the accepted order, and any spotlight fee. Quest Claim does not hold sponsor funds outside the processor arrangement described in [to be confirmed].
- Sponsor must not reverse or dispute a payment for a hunt that has gone live. If Sponsor does, the prize stays committed to players, Sponsor remains liable for the amount, and Quest Claim may suspend Sponsor's account.
- Sponsor is responsible for its own taxes. Cost allocation under Section 8 does not transfer or eliminate reporting, withholding, remittance or other statutory duties imposed on Quest Claim or another payer.
10. Acknowledgement (clickwrap)
Before paying, Sponsor must tick each of these, shown in bold next to the pay button:
- "I understand the 30-, 60- or 90-day advertising duration selected in my order and the flat fee based on the disclosed prize-value bracket. I separately fund the stated prize and the prize-related costs I expressly accept. If the treasure remains unfound when that selected duration expires, its prize money rolls into the progressive jackpot; the hunt stays live and its displayed clue text is removed. An earned winner's prize is not refundable to me or rolled over as unfound money. I agree to the Sponsor Agreement and Official Rules."
The server stores the acknowledgement version and time. Publishing is refused without it.
11. Content rules and Sponsor's promises
- Sponsor promises that it is a real, lawful business; that its name, logo and messages are accurate, are its own or licensed, and do not break any law or anyone's rights; and that the area it chooses is a lawful, public place.
- Not allowed: memorials, mass-death sites, schools, places of worship, private residences, government or military restricted sites, or anywhere unsafe; and messages promoting alcohol, tobacco, cannabis, firearms, gambling or adult content, or targeting minors.
- Quest Claim may refuse, edit or take down any hunt or message that breaks these rules or the Official Rules, or after a valid report. A takedown of a live hunt for Sponsor's breach is treated as a Sponsor cancel.
- Sponsor gives Quest Claim a non-exclusive, royalty-free license to use its name, logo and messages to run and show its hunts, the public prize list and the jackpot ledger.
12. Disclaimers and limitation of liability
The service is provided "as is". To the fullest extent the law allows, Quest Claim disclaims all implied warranties and is not liable for indirect, incidental, consequential or punitive damages or lost profits. Quest Claim's total liability under this Agreement is limited to the fees (not including prize amounts) Sponsor paid for the hunt giving rise to the claim.
13. Indemnity
Sponsor will defend and hold harmless Quest Claim and its owners, officers, employees and agents from claims, losses and costs (including reasonable attorneys' fees) arising from Sponsor's content, business, chosen area, breach of this Agreement, or breach of Section 5 by Sponsor's people.
14. Term and termination
This Agreement lasts while Sponsor has an account or a live hunt. Either side may end it for future hunts at any time. Quest Claim may suspend or end it immediately if Sponsor breaches it. Ending it does not change Section 6 for hunts already live. Sections 5 to 9 and 12 to 16 survive.
15. Disputes, governing law and venue
- Informal first: before filing a claim, each side sends a written notice and tries for 60 days to resolve it.
- Arbitration: any dispute related to this Agreement is resolved by final, binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Henry County, Missouri, or by video. Either side may bring a qualifying claim in small-claims court instead.
- Class-action waiver: claims may be brought only individually, not in any class, collective or representative action.
- Governing law and venue: Missouri law, without regard to conflict-of-law rules. Any claim not subject to arbitration goes only to the state or federal courts in Henry County, Missouri.
16. General
This Agreement and the Official Rules are the entire agreement about sponsored hunts. Quest Claim may change this Agreement for future hunts by showing the new version, which Sponsor must accept before its next hunt; changes never apply to a hunt already live. If any part is unenforceable, the rest stays in effect. Notices to Sponsor go to its account email; notices to Quest Claim go to questclaimapp@gmail.com. Sponsor may not assign this Agreement without consent. The parties are independent contractors.
